Tenable、Alsid 買収の意向を表明

　Cyber Exposure カンパニー、 Tenable Holdings, Inc. (以下 Tenable、NASDAQ：TENB) は、Active Directory セキュリティ業界リーダーの Alsid SAS (以下 Alsid) の買収を正式に合意したことを発表しました。

　Alsid for Active Directory は、Active Directory のセキュリティをリアルタイムで監視する、サービスとしてのソフトウェア (SaaS) ソリューションです。オンプレミス導入オプションもあり、動的な脅威スコアリング、複雑性の評価、対応策の推奨などを提供し、システムの弱点の特定と修正につなげます。Alsid は新たな攻撃経路や進行中の攻撃を業務に影響を及ぼさない方法で継続的かつリアルタイムに検出し、エージェントの導入や特別な権限を持つアカウントの使用なしで問題を修正する方法を提示します。

　Active Directory のユーザー権限の悪用は、システムの弱点を突く高度な攻撃から一般的なサイバー攻撃にわたってよく使われる手口です。多くの人々がリモートワークに移行し、個人のデバイスから会社のシステムに接続している現在、Active Directory がシングルサインオンの管理に果たす役割は極めて重要であり、従って Active Directory に関連するリスクも今までになく高まっています。そのため企業は、従業員、請負業者、臨時職員、システムのアカウントなど、さまざまなアカウントのセキュリティの確保とアカウントのシステム全体へのアクセスと権限の管理を、サイバーセキュリティ体制構築に必要な戦略と捉え、ますます重視しています。アカウントのシステムへのアクセスと、それがどのようにコンピューティング環境に伝搬されていくかを理解することは、脆弱性管理およびシステム衛生を補完する上で戦略的に重要です。とりわけ、複雑なクラウド環境やハイブリッド環境においては、リスクを包括的に管理することが一層必要不可欠になります。

　Alsid は、フランス国家情報システムセキュリティ庁 (ANSSI) で以前インシデントレスポンダーを務めていた Emmanuel Gras 氏と Luc Delsalle 氏により 2016 年に設立されました。両氏は Tenable の経営幹部として Active Directory のリスク対策とセキュリティ評価の革新的ソリューションの開発に引き続き従事し、世界の新規市場開拓にも取り組む予定です。
　買収契約によると、Tenable による Alsid の買収額は現金で総額 9800 万ドルであり、通常の購入価格調整の対象となります。買収は 2021 年第 2 四半期前半に完了する見込みですが、規制当局の承認を得て、通常の買収締結条件を満たす必要があります。

　Alsid の 2021 年の業績は、収益と現在の売上高がそれぞれ約 1% 増、増分営業経費は 1500 万～2000 万ドル。しかし純現金収支にはそれほどの影響はなく、2022 年中には増加に転じると予測されます。Tenable は、2021 年第 1～第 2 四半期に発生する経費を含む、買収関連経費が 300 万～400 万ドルになると見込んでいます。従来どおり、上記の費用は非 GAAP 業績から除外する予定です。
